4.Project Scope and Changes

All projects begin with a defined scope of work. Any changes or additions to the agreed-upon scope may result in additional charges and timeline adjustments. We will provide written estimates for any scope changes before proceeding with additional work. Change requests must be submitted in writing and approved by both parties.

5.Payment Terms

Final payment is due upon project completion and before final delivery

6.Intellectual Property Rights

We retain the right to use project work in our portfolio and marketing materials

Any pre-existing code, frameworks, or tools remain our property or that of third parties

Third-party licenses (plugins, frameworks, etc.) are subject to their respective terms

Source code and design files are provided unless otherwise specified

7.Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

We do not guarantee specific results or outcomes from our services

We are not responsible for content provided by the client

Website performance may be affected by factors outside our control (hosting, third-party services, etc.)

Bug-free operation cannot be guaranteed, though we strive for quality

8.Support and Maintenance

Post-launch support is typically provided for a specified period as outlined in the project agreement. This may include bug fixes and minor adjustments. Ongoing maintenance, updates, and feature additions are available through separate maintenance agreements. Support does not include training, content updates, or issues caused by third-party modifications.

9.Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This includes business strategies, technical information, and any information marked as confidential. This obligation continues beyond the termination of the service agreement.

10.Limitation of Liability

To the maximum extent permitted by law, Code Crate Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the total amount paid for the specific service giving rise to the claim.

11.Termination

Either party may terminate services with written notice. Upon termination, client is responsible for payment of all work completed up to the termination date. All materials and work product will be provided upon receipt of final payment. We reserve the right to terminate services immediately for non-payment or breach of these terms.

12.Third-Party Services

Our services may integrate with third-party services and APIs. We are not responsible for the availability, functionality, or terms of service of third-party providers. Additional costs for third-party services (hosting, domains, APIs, etc.) are the client's responsibility unless otherwise agreed.

13.Hosting and Domain Names

Unless specifically included in the project scope, hosting and domain registration are the client's responsibility. We can provide recommendations and assistance with setup, but ongoing hosting costs and domain renewals are separate from development fees. Clients are responsible for maintaining access to hosting and domain accounts.

14.Disputes and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Code Crate Solutions operates. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiation. If resolution cannot be reached, disputes may be subject to binding arbitration or legal proceedings.

15.Modifications to Terms

We reserve the right to modify these Terms at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified terms. For active projects, significant changes will be communicated directly.
